Adoption by the Management Board of the Warsaw Stock Exchange S.A. of a resolution regarding the admission and introduction to trading on the Main Market of the WSE of subscription rights to bearer ordinary shares of series CC of the Issuer

Subject: Adoption by the Management Board of the Warsaw Stock Exchange S.A. of a resolution regarding the admission and introduction to trading on the Main Market of the WSE of subscription rights to bearer ordinary shares of series CC of the Issuer

Legal basis: § 20 section 1 in conjunction with § 18 section 1 of the Regulation of the Minister of Finance dated 6 June 2025 on current and periodic information provided by issuers of securities and the conditions for recognizing as equivalent information required under the laws of a non-member state

The Management Board of Energa Spółka Akcyjna with its registered office in Gdańsk (the “Issuer”) hereby informs that on 15 May 2026 it became aware of the adoption by the Management Board of the Warsaw Stock Exchange S.A. (the “WSE”) (the “WSE Management Board”), also on 15 May 2026, of Resolution No. 686/2026 regarding the admission and introduction to exchange trading on the Main Market of the WSE of subscription rights to bearer ordinary shares of series CC of Energa S.A., pursuant to which the WSE Management Board:

a) stated that up to 414,067,114 subscription rights to bearer ordinary shares of series CC of the Issuer (the “Subscription Rights”), each with a nominal value of PLN 10.92 (ten zlotys and ninety-two groszy), will be admitted to trading on the regulated market as of 18 May 2026, provided that the National Depository for Securities (KDPW) registers these subscription rights no later than 18 May 2026 and assigns them the code “PLENERG00105”;

b) resolved to introduce, as of May 18, 2026, up to 414,067,114 Subscription Rights with a nominal value of PLN 10.92 (ten zlotys and ninety-two groszy) each to trading on the regulated market, provided that the National Depository for Securities (KDPW) registers these Subscription Rights no later than May 18, 2026 and assigns them the code “PLENERG00105”; and

c) resolved to list the Subscription Rights in the period from 18 May 2026 to 27 May 2026 (inclusive) in the continuous trading system under the abbreviated name “ENERGA-PP” and ticker symbol “ENGP”.

Additionally, the Issuer informs that on 11 May 2026, KDPW issued statement No. 498/2026 regarding the conclusion of an agreement with the Issuer on the registration in the depository maintained by KDPW of up to 414,067,114 individual subscription rights to bearer ordinary shares of series CC of the Issuer and their assignment of ISIN code PLENERG00105.
