Subject: Initiation of administrative proceedings by the President of the Energy Regulatory Office

The Management Board of Energa S.A. ("the Company", "the Issuer") hereby informs that on 5 February 2026 Energa Obrót S.A. ("the Subsidiary") received a notification from the President of the Energy Regulatory Office ("the President of the ERO") regarding the initiation of administrative proceedings.
The proceedings were initiated with respect to the issuance of an administrative decision imposing on the Subsidiary an obligation to transfer to the Price Difference Payment Fund an amount constituting the difference between the contribution to the Price Difference Payment Fund calculated by the President of the ERO and the contribution to the Price Difference Payment Fund disclosed in the Subsidiary's reports for the 12-month period from December 2022 to December 2023 submitted to the President of the ERO.
The Subsidiary is analysing the content of the notification and the materials related to the initiation of the proceedings. In the Company's opinion,used in reports the method of calculating the contribution is compliant with the applicable provisions of law; therefore, at this stage, the Energa Group does not identify grounds for creating a provision for an additional level of liabilities. Depending on the adopted methodology and interpretation of the applicable legal provisions, the difference in the level of liabilities towards the Price Difference Payment Fund amounts to approximately PLN 550.9 million.
The Company will inform about further material actions and resolutions, including any decision of the President of the ERO and legal steps taken to confirm the correctness of the Energa Group's position, in accordance with the procedures provided for by applicable law.
