The Management Board of Energa SA ("Company") informs that on 11 August 2025 the majority shareholder of the Company, ORLEN S.A., submitted a statement informing that - pursuant to Article 385 § 2 of the Polish Code of Commercial Companies and § 17 section 3 of the Company's Articles of Association – as of the beginning of 12 August 2025 it appointed Mr. Krzysztof Berliński to the Company’s Supervisory Board of joint term of office for the function of the Company’s Supervisory Board Member.

Mr. Krzysztof Berliński - Member of the Supervisory Board of Energa SA

Krzysztof Berliński is a tax advisor overseeing the tax function at ORLEN S.A., thus currently heading the largest tax department in the Polish business. Over his long career in taxation, he had the opportunity to work both in the private sector and in the tax administration, with the last 19 years spent at ORLEN. He was an area leader during some of the largest restructuring projects in Poland, including mergers. He has participated in and supervised dozens of business projects from a tax perspective, as well as the implementation and enforcement of tax laws. Krzysztof Berliński is a trainer and speaker at tax workshops and meetings in Poland and abroad, and an author of articles published in industry press. He is a member of Polish and international Tax Councils composed of representatives of the largest enterprises across various sectors of the economy. He graduated from the Warsaw University of Technology with a degree in Economics and completed postgraduate studies in Taxation at Koźmiński University. He also holds an MBA from SAN University and a diploma in Managerial Communication from Clark University. He has many years of experience serving in corporate bodies, including at the supervisory board level (ORLEN Centrum Usług Korporacyjnych) and the management board level (ORLEN Capital).

Mr. Krzysztof Berliński is not engaged in any form of business activity competitive to Energa SA, does not participate in a competitive company or partnership, as a partner of a civil law partnership, a partnership or as a member of a company body and does not participate in any other competitive legal person as a member of its body as well as he is not listed in the Register of Insolvent Debtors maintained under the National Register Court Act.
