Subject: Signing a loan agreement with Bank Gospodarstwa Krajowego within the National Recovery and Resilience Plan

The Management Board of Energa SA ("Issuer") informs that on 19 February 2025, the Issuer's subsidiary Energa-Operator SA ("Company") signed with Bank Gospodarstwa Krajowego ("BGK") a loan agreement for funds from the National Recovery and Resilience Plan as part of Investment G3.1.4 Support for the national energy system (Energy Support Fund) under component G ("Agreement") for the development of smart power grids by the Company in the years 2022-2036, supporting the energy transformation of Poland ("Project").
The object of the Agreement is for the Company to incur a long-term liability up to the amount of PLN 7,661,757,198.22 ("Loan") in order to refinance qualified expenditures incurred by the Company for the implementation of the Project. According to the terms of the Agreement, the amount of the Loan may be increased, which requires the conclusion of an appropriate annex to the Agreement.
The funds disbursed under the Agreement will bear fixed interest rate of 0.5% per annum. The Company is obliged to repay the Loan within 300 months from the date of signing the Agreement. The first disbursement under the Agreement will be made after fulfilment of the conditions precedent specified in the Agreement, standard for bank financing.
At the same time, the Issuer informs that on 19 February 2025 it signed a surety agreement with BGK for the Company's obligations resulting from the Agreement.
