Subject: Changes in the Supervisory Board of Energa SA
Legal basis: Article 56 section 1 item 2 of the Act on Offerings - current and periodic information
The Management Board of Energa SA (_quot;Company_quot;) informs that the Extraordinary General Meeting of the Company ("EGM") on 4 April 2024 adopted resolutions on:
1) dismissal, as of the end of 4 April 2024, Ms. Agnieszka Terlikowska-Kulesza and Artur Michalski from the composition of the Company's Supervisory Board and from the functions held by these persons in the Company's Supervisory Board,
2) appointment, with effect from the beginning of 5 April 2024, the following persons to the composition of the Supervisory Board of Energa SA:
- Ms. Dominika Martyna Lechowska for the function of the Member of the Supervisory Board,
- Ms. Agata Justyna Piotrowska for the function of the Member of the Supervisory Board,
- Mr. Zbigniew Tadeusz Lubośny for the function of the Member of the Supervisory Board,
- Mr. Dariusz Trojanowski for the function of the Member of the Supervisory Board.
At the same time the Company informs that on 4 April 2024 the majority shareholder of the Company, ORLEN S.A., submitted a statement informing that - pursuant to Article 385 § 2 of the Polish Code of Commercial Companies and § 17 section 3 of the Company's Articles of Association - it dismissed, as of the end of 4 April 2024, Ms. Anna Barbara Ziobroń and Ms. Agnieszka Sylwia Żyro from the composition of the Company's Supervisory Board as well as from the function of the Member of the Company's Supervisory Board.
In enclosure the Company provides information regarding the newly appointed Members of the Supervisory Board of Energa SA.
