Subject: Change in the ownership of Energa SA shares by PKN ORLEN S.A.
Legal basis: Art. 70 item 1 of the Act on Offerings – purchase or sale of a considerable equity stake
The Management Board of Energa SA (“Company”) informs that on 29 April 2020 it received a notification from PKN ORLEN S.A. (“PKN ORLEN”) submitted pursuant to Article 69(1)(1) of the Act of 29 July 2005 on the Public Offering, Conditions Governing the Introduction of Financial Instruments to Organized Trading, and on Public Companies concerning a change by PKN ORLEN of its share in the Company’s share capital and in the total number of votes in the Company.
On 24 April 2020 PKN ORLEN, as a result of settlement of the purchase of shares covered by subscriptions made during the first 70 days of accepting subscriptions (i.e. until 9 April 2020 inclusive) as part of the tender offer announced by PKN ORLEN on 5 December 2019 to subscribe for the sale of shares in the Company, it increased its share in the Company’s share capital and in the total number of votes in the Company to ca. 8.1% and ca. 6.0%, respectively.
Prior to the settlement of the aforementioned transaction of purchase of the Company’s shares, PKN ORLEN did not hold any Energa's shares.
