Further to Current Report No. 28/2018 of 2 July 2018, the Management Board of ENERGA SA (the “Issuer”) announces that on 5 July 2018, it was notified of the resolution adopted by the Issuer's Supervisory Board, pursuant to which the Supervisory Board determined the manner of exercising voting rights at the Extraordinary General Meeting of Shareholders of Elektrownia Ostrołęka Sp. z o.o. (“Company”) to be as follows: ENERGA SA shall vote in favour of adopting a resolution granting consent to the conclusion by the Company of a Public Procurement Agreement with the General Contractor: A Consortium of GE Power Sp. z o.o. – Consortium Leader and ALSTOM Power Systems S.A.S., selected in a public utilities contract award procedure conducted by the Company in the form of a competitive dialogue for the “Construction of Ostrołęka Power Plant C with a capacity of approximately 1,000 MW”.
Determination by the Issuer's Supervisory Board of the manner of exercising voting rights at the Company’s Extraordinary General Meeting of Shareholders as well as possible adoption of a relevant resolution by the Company’s Extraordinary General Meeting of Shareholders are not tantamount to consenting to the issue of a notice to proceed (NTP) – the NTP requires, among other things, a prior relevant consent of the Supervisory Board of the Issuer and a prior consent in principle to commence the Construction Stage granted by the General Meeting of the Issuer.
The Issuer will provide further information regarding the process of obtaining the consent to the conclusion of the Agreement in separate current reports.
