Subject: Appointment of the Supervisory Board member

Legal basis: Art. 56 section 1 point 2 of the Act on Offerings – current and periodic information

The Management Board of ENERGA SA (“Company”) announces that the Shareholder-Minister of State Treasury-submitted statements informing that - pursuant to §18 section 3 and §19 section 1 of the ENERGA SA Articles of Association - on 12 November 2015 it appointed Mr. Bogdan Skalski to the Company’s Supervisory Board and pointed to Ms. Paula Ziemiecka-Księżak to hold the position of the Chairman of the Supervisory Board of the Company.

Mr. Bogdan Skalski will hold the position of member of ENERGA SA Supervisory Board.

A biographical note of new member is presented below.

Bogdan Skalski is a graduate of the Warsaw University of Technology. He has worked for the State Treasury Ministry since 1998, serving in departments supervising State Treasury companies. Oversaw matters related to the restructuring of State Treasury companies (steel industry), supervised entities from the steel industry (e.g. Huta Częstochowa S.A., PHS S.A.), energy industry (e.g. PGE S.A. group companies, ENEA S.A.), participated in the work on the formation of 4 energy groups, separation of the Transmission System Operator, creation of Distribution System Operators, worked on the IPO of PGE S.A. He has gathered experience in overseeing companies with State Treasury shareholding by sitting on supervisory boards since 1998.

The activities conducted by Mr. Bogdan Skalski are not competitive in relation to the ENERGA Company. Mr. Bogdan Skalski does not represent any competitive company as a shareholder of a civil partnership, partnership or as a member of any capital company authority and does not participate in any legal entity as a member of its authority. Mr. Bogdan Skalski is not listed in the Insolvent Debtors Register, carried out pursuant to the National Court Register Act.
