Subject: Information about ENERGA SA Management Board Members appointed by the Company’s Supervisory Board for the fourth term of office

Legal basis: Article 56 section 1 item 2 of the Act on Offerings – current and periodic information

The Management Board of ENERGA SA (“Company”) hereby publishes information about the Company’s Management Board Members appointed on 28 April 2015 by the Company’s Supervisory Board for the fourth term of office.

Andrzej Tersa – President of the ENERGA SA Management Board

Graduate of the Gdańsk University of Technology (major in electricity), Controlling Academy, Gdańsk University School of Management and ICAN Institute.

He started his career in the power sector in 1969 as an employee of today’s ENERGA Group. In 2000, he was transferred to the Hydro Power Plants Unit in Straszyn, which he transformed into a company in 2003. In 2003–2013, President of the Management Board of ENERGA Hydro, managing a number of acquisitions and consolidations of hydro assets in the ENERGA Group. From June to August 2013, he was the Vice-President of the Management Board. From May 2014, he has been the Vice-President of the Management Board of PGE Energia Odnawialna. In 2004-2008, he was a Member of the Management Board of the Hydro Power Plants Association, and President of the Management Board of the Hydro Power Plants Association in the 2008-2012 term of office and the current term of office – 2014-2018. Since 2006 he has been a member of the Program Board of the “Wisła 2020” program by the President of the National Water Board.

Seweryn Kędra – Vice-President of the Management Board for Financial Matters

Graduated from the Warsaw School of Economics, majoring in Finance and Banking; holds securities broker license no. 1891 and, since 2007, international management accounting qualifications (CIMA).

He started his career in the area of finance in Andersen Business Consulting in 2003. He was responsible, among other things, for value based management and consulting services regarding detailed valuation methodology of investment projects. Since 2005 he has been gathering experience in Polish branches of international concerns: Toyota Motor Poland, Iveco Poland, Sika Poland on CFO and Financial Controller positions.

Jolanta Szydłowska – Vice-President of the Management Board for Corporate Matters

Graduated from the Gdańsk University (law) and several postgraduate faculties in the area of finance management, tax consulting services and financial analysis.

Specialist in restructuring and privatization, holds extensive experience in managing business entities gathered as a member of management and supervisory boards of commercial law companies. Among others, she discharged the functions of: President of the Management Board of EURO-AGRO Sp. z o.o., Director General of PIKA Inwestor S.A., President of the Management Board of Fabryka Wódek Gdańskich w Starogardzie Gdańskim S.A. (in 2001-2011 she cooperated with the Belvedere Group (later Sobieski)), Branch Director in Ruch S.A. (Branch - former Gdańsk, Elbląg and Olsztyn Voivodships), Privatization and Ownership Transformation Department Director in Pomorskie Voivodship Office and member of Supervisory Board of Herbapol - Warszawa Sp. z o.o., Ruch SA and ENERGA SA. From May 2011 to July 2014 she was the Management Board Advisor and Director of Asset Management Center in ENERGA SA. She was responsible, among others, for the work of the following departments: Corporate Governance, Corporate Management and Value Management; she supervised execution of segment strategic plans and restructuring processes in the ENERGA Group. Additionally, she discharged the function of President of the Pomorskie Confederation of Private Employers “LEWIATAN”.

None of the Company’s Management Board Members is engaged in any business competitive to that of ENERGA SA, participates in a competitive entity as a partner in a civil law company or partnership or as a member of a corporate authority of a joint stock or limited liability company and does not participate in any other competitive legal person as a member of its corporate authority, or is listed in the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

Legal basis: § 5 Section 1 Item 22 of the Regulation issued by the Finance Minister on 19 February 2009 on the Current and Periodic Information Transmitted by Securities Issuers and the Conditions for Recognizing the Information Required by the Regulations of a Non-Member State as Equivalent (consolidated version of 2014.133).
