Topic: Repeal of ENERGA SA subsidiary liquidation.
Legal grounds: Article 56 section 1 item 2 Act on Offerings – current and periodic information
The Management Board of ENERGA SA with its seat in Gdansk (‘Company’, ‘ENERGA SA’) on 3 October 2014 acknowledged the repeal from 30 September 2014 by the Extraordinary Shareholders Meeting of a 100% subsidiary of ENERGA SA – Miedzynarodowe Centrum Szkolenia Energetyki Sp. z o.o. – of the liquidation of this company.
This decision is justified by improving the company transformation process: its simultaneous liquidation and merger, resulting from a resolution adopted by the ENERGA SA Supervisory Board on 29 September 2014 on the merger of ENERGA SA subsidiaries by virtue of Article 492 § 1 item 1 of the Commercial Companies Code i.e. by transferring the entire property of a merged company Miedzynarodowe Centrum Szkolenia Energetyki Sp. z o.o. into a merging company RGK Sp. z o.o. (‘RGK’) with an increase of RGK equity capital. The planned merger is related to the execution of selling assets with limited marketability of the ENERGA Group within one company – RGK, dedicated for this purpose.
Legal grounds:
- 5 section 1 item 24 of the Minister of Finance Decree dated 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
