Topic: Signing by ENERGA Group of Amendment Letter to material contract with European Investment Bank

Legal grounds: Article 56 section 1 item 2 of the Act on Offering – current and periodic information

 

The Management Board of ENERGA SA with its seat in Gdansk (‘Issuer’) announces that on 30 September 2014 the Issuer together with its subsidiary ENERGA-OPERATOR SA signed an Amendment Letter to the Finance Contract with the European Investment Bank (‘EIB’) dated 16 December 2009. The loan with its original value of PLN 1,050 million (say: one billion fifty million Polish zlotys) was granted to finance investment outlays of the ENERGA Group related to the expansion and modernization of distribution grid.

The Amendment Letter changes part of important contractual clauses of the Finance Contract, including primarily the elimination of financial covenants and introduction of a rating loss clause. Signing of the Amendment Letter does not cause any increase of the available financing or extension of the financing period. The above mentioned financing has been fully utilized, of which as at 30 June 2014 the amount of PLN 934.3 million remains to be paid off with the maturity date of 15 December 2025.

The Amendment Letter concluded between the ENERGA Group and EIB within last 12 months meets the criterion of material agreement i.e. its total value exceeds the equivalent of 10% of the Issuer’s equity.

  • 5 section 1 item 3 of the Minister of Finance Decree dated 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
