Topic: Dissolution of ENERGA SA indirect subsidiary

In relation to the ongoing optimization of ENERGA Group structure, the Management Board of ENERGA SA with its registered seat in Gdańsk (Company) announces that on 2 July 2014 it received resolutions adopted by the Extraordinary General Meeting of its indirect subsidiary - ENERGA Elektrociepłownia Kalisz SA (Subsidiary) concerning the Subsidiary’s dissolution and the commencement of its liquidation as well as the appointment of Mr. Paweł Błażyński as the Subsidiary’s liquidator. ENERGA Elektrociepłownia Kalisz SA is a 100% subsidiary of ENERGA Kogeneracja Sp. z o.o. whose sole shareholder is a direct subsidiary of ENERGA SA – ENERGA Wytwarzanie SA (Generation).
The Subsidiary’s production assets and real estate have been entirely sold to ENERGA Kogeneracja Sp. z o.o., while its organized part of enterprise was transferred to an indirect subsidiary of ENERGA SA – Ciepło Kaliskie Sp. z o.o.. The Subsidiary’s dissolution process results from consolidation of individual operational segments with the objective to simplify the structure and limit the number of ENERGA Group entities.

§ 5 section 1 item 24 of the Minister of Finance Decree dated 19 February 2009 on current and periodic information disclosed by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
