Subject: Appointment of ENERGA SA Supervisory Board members

Legal basis:Article 56 section 1 item 2 of the Act on Public Offering – current and periodic information

The Management Board of ENERGA SA (”Company”) announces that on 20 May 2014, the Ministry of State Treasury acting in accordance with entitled personal powers as described in § 18 section 3 of the Company’s Articles of Association has appointed in a statement mode at the Annual General Meeting the following members to the Company’s Supervisory Board:

  1. Mr. Zbigniew Wtulich as a Supervisory Board member,
  2. Mr. Bogusław Nadolnik as a Supervisory Board member and on the basis of par. 19 sec. 1 of the Company’s Articles of Association has named him a Chairman of the Supervisory Board,
  3. Mrs. Paula Ziemiecka-Księżak as a Supervisory Board member,
  4. Mr. Jakub Żołyniak as a Supervisory Board member.

The Company’s Management Board also informs that the Annual General Meeting on 20 May 2014 acting pursuant to § 18 section 6 of the Company’s Articles of Association adopted resolutions to appoint to the Supervisory Board the following members:

  1. Mr. Marian Gawrylczyk as a Supervisory Board member,
  2. Mr. Mirosław Szreder as a Supervisory Board member, and
  3. Mr. Jarosław Mioduszewski as a Supervisory Board member,

meeting the independence criteria envisaged for an independent member of the Supervisory Board in the § 23b section 2 of the Company’s Articles of Association.

The above mentioned persons have been appointed to perform indicated functions for the 4th joint term of office starting from the day of AGM resolution adoption, i.e. from 20 May 2014.

Biographies of the following reappointed members of the Supervisory Board: Zbigniew Wtulich, Bogusław Nadolnik, Marian Gawrylczyk and Mirosław Szreder are placed on the Company’s website. Below the Company presents the biographies of newly appointed members of the Supervisory Board:

Paula Zimecka-Księżak – a graduate of Leon Kozminski Entrepreneurship and Management College (at present Kozminski University). An employee of the Ministry of State Treasury from 1996. She has worked in departments supervising State Treasury companies. She oversaw companies from such sectors as: in-car communication, construction, sea shipping, publishing, and also such entities as: Mennica Polska S.A., KGHM Polska Miedź S.A. At present she is an executive in the Key Companies Department. Her main duties comprise: supervision of economic and legal issues related to the activities of companies with State Treasury shareholding and analysis, preparation and execution of corporate supervision. Currently she works in an office supervising four power groups in Poland. Apart from regular supervision activities she also prepares and analyses a number of topics and documents related to power sector operations. She has gained experience in supervision of State Treasury companies while serving on supervisory boards of the following companies: SIP-MOT S.A. in Zamość, PKS w Ostrołęce S.A. (in Ostrołęka), OPAKOMET S.A. in Cracow.

Jakub Żołyniak – a graduate of the Law and Administration Department of Maria Curie-Skłodowska University in Lublin, Rzeszów office. Since March 2008 he has carried out economic activity in financial advisory and training as well as in the scope of European and domestic assistance funds, starting from 2004. Since March 2010 he has run a law office. He was a Chairman of Supervisory Boards of: Zakład Komunalny Sp. z o.o. in Żołynia (a communal establishment) , a Secretary of the Supervisory Board of Zakład Utrzymania Ruchu “PZL-Mielec” Sp. z o.o. (a plant maintenance establishment) in Mielec and a Chairman of the Supervisory Board of Łańcucki Zakład Komunalny Sp. z o.o. in Łańcut (a communal establishment).

Jarosław Mioduszewski – a graduate of the University of Agriculture and Technology in Olsztyn (with a major in agriculture economics) and holds a Ph.D. degree in management sciences. From 1989 has been employed in the University of Agriculture and Technology and University of Warmia and Mazury in Olsztyn. During his professional career he was twice selected a member of the Management Department Council (1995-1999) and the Department of Economic Sciences (2012-2016). Has been a lecturer in management and organization methods, managerial training and business negotiations. Between 2006 and 2010 he participated as an expert in evaluation and monitoring, and from 2012 to 2014 as a manager in three projects co-financed by the European Social Fund. In the period 1997-2014 he was a member of supervisory boards of: Przedsiębiorstwo Wodociągów i Kanalizacji Sp. z o.o. in Olsztyn, OZGraf Olsztyńskie Zakłady Graficzne S.A. in Olsztyn, Przedsiębiorstwo Gospodarki Komunalnej Sp. z o.o. in Miłomłyn, in which he held positions of Deputy Chairman and Chairman. Since 1996 he has been a member of the Association of Agriculture and Agribusiness Economists.

According to submitted declarations the above mentioned members of the Supervisory Board do not perform any activity in competition to the activity of ENERGA SA, and are not engaged in other competitive business as partners in civil law partnerships, as partners in partnerships or members of company authorities, or participate in any competitive legal entity as members of its authorities. The members of the Supervisory Board have not been entered in the Register of Insolvent Debtors carried out pursuant to the Act on National Court Register (KRS).
