Topic: registration of amendment to the Articles of Association of ENERGA SA

Legal basis: §56 section 1 item 2 of the Act on Offerings – current and periodic information

The Management Board of ENERGA SA („Company”, „ENERGA”) with respect to the current report no. 12/2014 of 18 February 2014 informs that the District Court Gdańsk-North in Gdańsk, VII Economic Department of the National Court Register, on 8 April 2014 made an entry in the register of entrepreneurs of the National Court Register an amendment to the Articles of Association of ENERGA SA adopted by the resolution no. 3/2014 of the Extraordinary General Meeting of the ENERGA SA dated 17 February 2014.

The up-to-date provision of § 33 section 2 reading:

“2. The personal rights referred to in § 18 and § 19 of the Articles of Association shall expire on the day on which the share of the rights holder in the share capital falls below 10%.”

received the following amended wording:

“2. The personal rights referred to in § 18 and § 19 of the Articles of Association shall expire on the day on which the share of the rights holder in the share capital falls below 20%.”.

At the same time the Company has prepared a uniform text of the Articles of Association including the amendment registered by the Court which constitutes an amendment to the hitherto report.
