Subject: Appointment of the Supervisory Board member

Legal basis: Art. 56 section 1 point 2 of the Act on Offerings – current and periodic information

The Management Board of ENERGA SA (“Company”) announces that the Shareholder-Minister of State Treasury-submitted a statement informing that - pursuant to §18 section 3 pt. 3) of the ENERGA SA Articles of Association with respect to its vested personal powers - on 16 January 2013 it appointed Mr. Boguslaw Nadolnik to the Company’s Supervisory Board.

A biographical note is presented below.

Boguslaw Nadolnik is a graduate of the Main School of Commerce in Warsaw, Management and Marketing Department. He has also completed post-graduate studies in Internal Audit and Internal Control at the Instytut Organizacji i Zarządzania (Organization and Management Institute) ORGMASZ in Warsaw and Międzynarodowe Centrum Szkolenia I Doradztwa (International Training and Advisory Center) Sp. z o.o. In 1990-1992, he graduated from Small Business Management of the Georgetown University Washington D.C. (U.S.A.), where he started his professional career as an intern. Upon his return to Poland in 1994, he joined the Organization Department of the Minister’s Office as a senior specialist, and then as acting Chief of the Minister’s Office at the Ministry of Agriculture and Food Economy. In 1996-2006 he worked for the Ministry of State Treasury as Deputy Director of the Treasury Finance Department, Deputy Director of the Budget and Finance Department, and acting Director of the Public Assistance Office. Between 2007-2008, he served as the Legionow County Secretary at the Legionow County Office. In 2008, he moved to the Ministry of Agriculture and Rural Development, where he was the Secretary of State. From 2008 until 2013 held a position of Deputy Chairman of the Agency for Restructuring and Agriculture Modernization. At present he is Director of the Post-privatization Operations Department at the Ministry of State Treasury.

He was a member of Supervisory Boards in the following Ministry of State Treasury Companies: Legnicka Specjalna Strefa Ekonomiczna S.A., Polimex-Cekop Sp. z o.o., Metalexport Sp. z o.o., Beskidzkie Tartaki „Bestar” S.A., Bank Gospodarki Żywnościowej S.A., VII Narodowy Fundusz Inwestycyjny S.A. im. Kazimierza Wielkiego, Agencja Rozwoju Przemysłu S.A., Uzdrowisko Krynica Żegiestów S.A. oraz Rolno-Spożywczy Rynek Hurtowy S.A.

The activities conducted by Mr. Boguslaw Nadolnik are not competitive in relation to the ENERGA Company. Mr. Boguslaw Nadolnik does not represent any competitive company as a shareholder of a civil partnership, partnership or as a member of any capital company authority and does not participate in any legal entity as a member of its authority. Mr. Boguslaw Nadolnik is not listed in the Insolvent Debtors Register, carried out pursuant to the National Court Register Act.
